Terms of use

Please read these Terms carefully. If you do not agree with them, please do not use Kodici.

When we refer to "KODICI", or "we" in this document, we mean the products, resources and services we offer, including:

1. The website https://kodici.com.br and any other website related to KODICI (including subdomains, international versions, mobile versions or widgets);
2. The online platform; and
3. Any other medium, software, device or network existing or developed in the future.

1. Acceptance of the Terms

Vernum Tecnologia (" Kodici ") provides Service (defined below) to you (" CONTRACTOR ") subject to this Terms of Service (" TOS ") agreement. By clicking or tapping any button or box marked "Accept", "Agree" or "OK" (or a similar term) in connection with this TOS, or by accessing our website https://www.Kodici.com.br ("Platform") or otherwise. By using the Service, you acknowledge that you have read, understood and agree to be bound by this TOS and affirm that you are over the age of 18. You acknowledge that this TOS constitutes a binding contract between you and Kodici, even if it is electronic and not physically signed, and that it governs, without limitation, your use of and access to the Service.

We expressly reserve the right to update and change our Terms of Service from time to time without formal notice to you. You acknowledge and agree that it is your responsibility to review our Terms of Service occasionally to familiarize yourself with any modifications. Your continued use of the Platform following the occurrence of such modifications will constitute an acknowledgment of the modified Terms of Service with which you will comply and be bound.

1.1 Definitions

KODICI: is the portal whose address is https://www.kodici.com.br, with all the resources and tools related to it, even if they are hosted on other domains.

USER(S): are the people who access KODICI.

CONTRACTOR(S): are the people or companies that publish and broadcast their content, links and/or pages on KODICI.

USUÁRIO(S) AUTORIZADO(S): são as pessoas designadas pelo CONTRATANTE para que publiquem e gerenciem conteúdo, páginas, links, entre outros, em seu nome atraves da plataforma KODICI.

THIRD PARTY(S): persons or companies that have no connection with KODICI.

TERMS OF USE: These are the terms contained for access, responsibilities, duties and obligations and use of the services provided by KODICI (union of all policies: PRIVACY and ADDITIONAL TERMS).

ADDITIONAL TERMS: These are the terms contained for access, responsibilities, duties and obligations and use of the services that govern certain additional services within the KODICI platform.

PRIVACY POLICY: These are the terms, responsibilities, duties and obligations that guarantee the protection of the personal information of the USER(S) and CONTRACTOR(S). A link to these policies can be found at the bottom of this page.

1.2 Reference to trademarks on the platform

The following trademarks are present in some terms on the platform:

• "GS1", registered trademark of GS1 AISBL.
• "GTIN", registered trademark of GS1 AISBL.
• "QR Code", registered trademark of DENSO WAVE INCORPORATED.
• "Kodici", registered trademark of Vernum Tecnologia.

2. Description of the Services

The Platform offers the ability to create personalized web pages for sharing content such as text, images, videos, music, links, contact information and other materials that can be used for personal or commercial purposes.

We reserve the right to update, modify or alter the service at our discretion without prior notice. We will not be liable to you or any third party should we exercise this right. You agree to follow our guidelines on the use of our products. Any new features we implement to improve the Platform will also be subject to these Terms of Service.

3. Content

The "Platform" allows "You" to upload, share, create or provide your own content to this "Platform".

"Content" includes all user-generated material that you create, upload or make public on the Platform, including but not limited to text, images, videos, music and links.

You are responsible for the Content you publish on the Platform, including its legality, reliability and appropriateness, and confirm that you are legally authorized to do so and that you are not infringing any legal provisions and/or rights of third parties.

You grant us for the duration of the agreement a universal license to host, use, distribute, copy, publicly display and translate your content on the Platform. You also agree that we may use your content in marketing and promotions for the Platform with your express permission.

You agree that we may remove parts of your Content or an entire page for any reason at our discretion. This may be due to: copyright takedown notices, intellectual property infringement, serious content complaints, impersonation, abandonment, doxxing (sharing someone else's private information without their consent), phishing, sharing misleading or false giveaways and promotions, or posting content that we believe is harmful or inappropriate for the Platform.

The removal, deletion, blocking or rectification of parts of the content or an entire page does not entitle "You" who "have provided such content" or "who are responsible for it" to any claims for compensation, damages or reimbursement.

You agree to hold the "Platform" harmless against any claim asserted and/or damages suffered due to the content you have provided or will provide through this "Platform".

You will indemnify us against any loss arising from a breach by you of these Terms, or a third party claim made against us in relation to your content.

To the extent permitted by law, the platform is not responsible for any opinions, advice, statements, products, services, offers or other content posted by other users on its pages.

3.1 Creating usernames:

The username you choose must be appropriate for all audiences and must not infringe on anyone else's rights.

User names created on the "Platform" must not be vulgar, profane, explicitly sexual or contain insults of any kind, including intellectual property rights (such as copyrights and trademarks) ("IP Rights").

It is not allowed to create an account with a username that you have no connection with just to profit from it in the future (known as "Domain Squatting").

If any of these problems occur with your username or if the suitability of a username for the Platform is questionable, you can contact support for an official decision. We will consider the circumstances reasonably and may require you to change it (and may reassign it to someone else). If you refuse, we may suspend or cancel your account.

If someone claims that your username infringes their IP rights, they will need to file an intellectual property report and you will have the chance to issue a counter-notification.

(abandoned accounts) If you haven't logged in or added new links or had traffic to your account in the last 6 months, we can claim or reassign your username (but never without contacting you first).

3.2 Content guidelines

Given our self-service configuration, it is not possible to know each of our users individually and the nature of their sites. We do our best to take a proactive approach to moderation, but there is always the risk that content listed on our platform may be contrary to our Terms of Use, and our company values.

Unacceptable uses:

3.2.1 Sexual content

The Platform is not suitable for linking to unenclosed or age-restricted sexual content, or promoting any type of sexual solicitation service (including where legal in your local jurisdiction) which will result in account termination.

3.2.2 Use for SPAMming

Creating an excessive number of pages with links to similar content for the sole purpose of SEO (search engine optimization) or otherwise is considered spam and will be removed from the Platform even if the page is deemed suitable.

Re-creation of pages or content that have previously been removed for the reasons mentioned (not including abandonment) may lead to permanent banning from the Platform and all related services.

You acknowledge that content made available by "you" on our "platform" may contain links to third party websites; and that the inclusion by "you" of these links does not imply endorsement of these websites, as they are not operated, pre-selected (by the platform) which assumes no responsibility for the content, privacy policies or practices of any third party websites or services.

You acknowledge that your content will be publicly accessible and may be used and shared again by others on the Internet. For this reason, do not share personal information that you do not want to be visible to the world.

3.3 We are not responsible for your use of the Platform.

The Platform is not responsible for any content lost, but not limited to, accidental deletion by the user or service provider failures.

None of us will be liable for any indirect, punitive, special, incidental or consequential damages (including loss of business, revenue, profits, use, privacy, data, goodwill or other economic advantage), whether for breach of contract, tort (including negligence) or otherwise, even if we know that such damages are possible.

Kodici, its affiliates and its licensors make no express or implied warranties or representations, including that:

• The Platform will operate uninterruptedly, securely or be available at any time or place;
• Any errors or defects will be corrected;
• The Platform is free of viruses or other harmful components;
• The Platform is effective or the results of using the Platform will meet your needs; or any content on the Platform (including any user content) is complete, accurate, reliable, suitable or available for any purpose.

3.4 Request to obtain the exact location of users

CONTRACTOR may configure content pages created on the Kodici platform to display a prompt requesting permission to determine the GPS location of users accessing such content.

As it is an optional method for determining location, this process requires the user's permission. Only after the user's explicit acceptance (OPT-IN) is the location determined by the device's GPS device (if enabled). In this case, the latitude and longitude are provided with a level of precision. If permission is not granted, the IP address is used (in which case the location accuracy will be lower).

3.5 Links to third-party websites, search engines and sharing via social media

3.5.1 Sharing links on pages and content

The USER declares to be aware that CONTRACTORS, through their AUTHORIZED USERS, may include hyperlinks in their content to other websites/portals owned by the CONTRACTOR or to other websites/portals operated by THIRD PARTIES. CONTRACTORS assume any and all responsibility for the inclusion of these hyperlinks and declare that they have no relationship with KODICI or its affiliates. These hyperlinks are provided for your reference only. KODICI has no control over these other websites/portals, and is not responsible for their content. The inclusion of these hyperlinks does not imply endorsement of the material or any association with its operators. By accessing and using these other websites/portals through these hyperlinks, including their information, materials, products and services, the USER is doing so at their own risk.

KODICI shall not be liable, directly or subsidiarily, for damages of any nature arising from the inclusion of the respective hyperlinks to websites/portals included by the CONTRACTING PARTY in its contents and the USER may not hold KODICI liable for:

1. Operation, unavailability, inaccessibility and lack of continuity;
2. Lack of maintenance and updating of the contents and services contained;
3. Lack of quality, accuracy, illegality, uselessness of content and services.

The exemption from liability referred to in the preceding paragraphs will apply in the event that KODICI does not have actual knowledge that the activity or information to which the links refer is illicit or that it harms the property or rights of a third party liable to compensation or, if it does, it acts diligently to remove the data and content or make access to them impossible.

3.5.2 Inclusion of hyperlinks by other THIRD PARTY websites/portals

KODICI declares that it has no control or participation in the inclusion, updating and removal of content(s) and/or page(s) from the KODICI platform on search engines such as and not limited to "Google", "Bing", "Yahoo", blogs, social networks, among others. As "all" are operated by THIRD PARTIES, KODICI will not be able to provide any information regarding the inclusion, updating and removal of such content and/or pages even after they have been finalized by KODICI. The USER(S) and CONTRACTOR(S) exempt KODICI from any problem or responsibility that this inclusion may entail, and should contact the respective operators of these websites/portals directly. The inclusion of these hyperlinks does not imply approval of the material or any association with its operators by KODICI.

KODICI informs you that certain servers may store in their cache memory a copy of the pages accessed by USERS on KODICI. This action is carried out for the sole purpose of improving the traffic speed of these pages (such as on SEARCH sites, for example). KODICI is not responsible for the inclusion, updating or removal of content/pages on these THIRD PARTY servers.

3.5.3 Sharing pages on social networks

The CONTRACTOR(S) declare(s) that they are aware that KODICI provides integration with some social media sites (Facebook, X, among others) through buttons (tweet) (X), like and comment (Facebook), among others, available on content generated by the CONTRACTOR'S AUTHORIZED USERS on the platform. Authorization for the inclusion of these buttons in the content is made at the CONTRACTOR's own risk at the time the content is published.

The CONTRACTOR(S) and the USER(S) and THIRD PARTIES release KODICI from any liability for the sharing of the content of the pages and comments related to them, on social media sites, which originated in the sharing or any other problem caused due to the use and inclusion of this information on these social media sites, both for its USERS and the CONTRACTOR(S), as well as installed equipment.

The CONTRACTOR(S) declare(s) that they are aware that enabling these buttons will allow any USER, THIRD PARTY or the CONTRACTOR himself to share the content of his page on the social media site chosen by him (Facebook, X, among others).

The CONTRACTOR(S) declare(s) to be aware that KODICI does not induce, encourage, request or ask any USER, CONTRACTOR or THIRD PARTY to share any content and/or page through these buttons, nor does it control, monitor or filter the information inserted by the USER(S) or THIRD PARTY(S) on the respective social media sites. The removal of this content on the social media site where it was published can only be done by the USER(S), CONTRACTOR(S) (when sharing) or THIRD PARTIES who published it on their respective profiles or by the operator of the respective sites.

The CONTRACTOR(S) declare(s) that they are aware of and exempt KODICI from any problem that may be generated by the inclusion of pages or comments through said buttons, authorized by the CONTRACTOR through their AUTHORIZED USERS at the time of publication. The revocation of the authorization to include these buttons can be done at any time by the CONTRACTOR through the tools available on the KODICI platform, by editing the content and disabling the integration. This revocation of authorization will not remove/cancel the shares made up to that point.

Sharing requires the USER or the THIRD PARTY to have an active profile on the respective social media site on which they intend to share. KODICI does not offer technical support, does not teach how it works, does not encourage the use of the site, and has no partnership or commercial relationship with its controllers.

The CONTRACTOR(S) declare(s) that they are aware that there are other ways of sharing content besides the buttons available on the pages created through the KODICI platform. This sharing can take place in various ways, such as, but not limited to, the use of specific software or the inclusion of a hyperlink directly on the user's profile. KODICI informs that it has no control over the inclusion through the use of these softwares, directly or in any other possible way, nor can it provide any information regarding the inclusion, updating and removal of these contents and/or pages, even after they have been finalized on the KODICI platform.

The TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable") are applicable only when the USER and CONTRACTOR are accessing and using KODICI. Once referred to another website/portal, the USER and CONTRACTOR will be subject to the policies of that other website/portal, over which KODICI has no control or relationship.

4. Accounts and security

When you create an account with us, you:

• Claims to be over 18;
• By creating an account on behalf of a company or other legal entity, you represent that you have the authority or permission to bind the entity and its affiliates to this TOS;
• You must provide your accurate, non-temporary e-mail address so that we can provide important account information when necessary or to recover access to a lost account. Using a false, temporary or invalid e-mail address may result in the loss of your account. Your account email address must be kept up to date by updating it when necessary on the Platform dashboard;
• You agree that the creation of accounts through Bots or any automated methods will not be permitted;
• You must not assign or transfer your account to another person, or use your account (or allow it to be used by anyone).
• KODICI may verify your data, or that of your company, so we will ask you to provide us with certain relevant tax information. We will only use this information to ensure that you are the legitimate owner of the GTIN codes we use in our system, as a tool to prevent phishing and misuse of our website.

4.1 Equipment

You shall be responsible for obtaining and maintaining any ancillary equipment and services necessary to connect to, access or use the Platform Services, including, without limitation, modems, hardware, server, software, operating system, network, web servers, long distance and local area networks, telephone service (collectively, " Equipment ").

You shall be responsible for ensuring that such equipment is compatible with the Services (and, to the extent applicable, the Software) and complies with all settings and specifications set forth in Kodici's published policies in effect.

4.2 Our platform

We own the Platform, but grant you a limited right to use it to share content.

As a user, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform to create, display, use, reproduce and upload content in accordance with these Terms.

If we provide you with additional materials (images, icons, themes, fonts, videos, graphics or other content), you must only use them in your profile and comply with all the guidelines we make available to you.

4.3 Your visitors and customers

You are responsible for the visitors to your profile.

You are solely responsible for:

1. The way End Users use and interact with your profile and content;
2. Comply with all laws in relation to your End Users and all transactions between you and End Users made through the Platform.

In cases where forms exist (collecting information from users):

• The information collected should only be used for the purpose stated.
• The Contractor may not use the data for other purposes without the user's permission.
• The use of the information must be clearly stated in the terms of acceptance on the form.
• User information can only be accessed by the "contractor" himself.
• It is forbidden and prohibited to distribute, sublicense, transfer, sell, offer for sale, disclose or make available this data collected via forms to third parties.
• The contractor will be solely responsible for any communication/request for authorization to use this data that occurs outside the scope of the initial acceptance.
• You must clearly communicate that it is you, and not KODICI, who collects this information. In addition, you must publish a privacy policy explaining how you collect and process the data.

4.4 ACCESS LOGIN

Access to Kodici's modules and services will be through an individual login and password.

The CONTRACTING PARTY will be provided with a quantity defined in the contracted plan of ACCESS LOGINS to Kodici's modules and services for use by its EMPLOYEES and COLLABORATORS - "AUTHORIZED USERS".

The CONTRACTING PARTY and its respective AUTHORIZED USERS may not assign to THIRD PARTIES the logins and passwords for access to Kodici's modules and services, including this restriction to companies in the same economic group or with which the CONTRACTING PARTY has a corporate relationship, as a subsidiary, controlling company, affiliate or with which the CONTRACTING PARTY's controlling company participates as a shareholder or quotaholder, under penalty of immediate cancellation of the services contracted herein.

The CONTRACTING PARTY must define at least ONE of the ACCESS LOGINS as the ADMINISTRATOR USER, who in addition to having the same permissions as the other logins, will be responsible for managing (adding/removing) the AUTHORIZED USERS.

In any case, the CONTRACTING PARTY is responsible for ensuring that each of its AUTHORIZED USERS complies with this TOS. CONTRACTOR is fully responsible for the acts and omissions of each of its AUTHORIZED USERS as if they were its own acts or omissions.

CONTRACTOR is responsible for ensuring that its respective AUTHORIZED USERS do not commit Infringements, violations, misuse the modules and services in any way or use Kodici's modules and services to conduct any fraudulent or illegal activity.

The AUTHORIZED USER is solely responsible for the safekeeping and security of his/her login and password to access Kodici's modules and services. The CONTRACTING PARTY cannot hold Kodici responsible for problems arising from the improper use of the logins and passwords of its respective AUTHORIZED USERS, as well as the consequences of such acts. If you have reason to believe that the login and password of any AUTHORIZED USER is no longer secure, you must notify Kodici immediately.

Kodici, at its sole and absolute discretion, reserves the right to deny LOGIN to any AUTHORIZED USER of the CONTRACTING PARTY.

CONTRACTOR acknowledges and agrees that Kodici may stop providing the services or restrict the use of the modules and services, at any time, of any AUTHORIZED USER of CONTRACTOR, without notifying CONTRACTOR in advance, for any reason or no reason, including, without limitation, any violation of this TOS.

How can I add AUTHORIZED USERS to the platform?

There are different ways to add AUTHORIZED USERS to your list:

• Add them manually via the application interface.
• Setting up a registration form.
• Add subscribers using CSV import.
• Add subscribers via API*

How does Kodici store and protect my data?

Your data is stored in the cloud, on servers from the best services available on the market, which work in accordance with the strictest data center control standards. In addition, we have backup routines with data redundancy, which guarantee the security and integrity of your information.

4.5 Copyrights

The CONTRACTOR and its respective AUTHORIZED USERS may not, in whole or in part, resell, rent, lease, loan, sell, sublicense, redistribute or make available for online access, remote access, or otherwise, free of charge or for a fee, any part of the licensed materials or any derivative materials to THIRD PARTIES as an independent individual.

All logos and product names appearing on or in connection with the modules and services are the property of Kodici or its licensors and/or suppliers. CONTRACTOR agrees never to REMOVE or HIDE any proprietary notices, logos or product identification labels from the software, maps and other content, as applicable.

4.6 USER CONTENT - PUBLISH CONTENT

Some modules and services offered by Kodici allow the CONTRACTING PARTY and its AUTHORIZED USERS to publish/enter content by uploading/typing (USER CONTENT). This content may include, but is not limited to, comments, photos, videos, images, data, texts and other types of works.

CONTRACTOR is solely responsible for the content published/inserted by its AUTHORIZED USERS - USER CONTENT in Kodici's modules and services and for the consequences of publishing/inserting such content.

By publishing/inserting such content the CONTRACTOR affirms, represents and warrants that it is complying with all laws, policies and regulations, including those relating to privacy and/or data protection.

You represent that you are the creator and owner of this content, or have the licenses, rights, consents and permissions and any other proprietary rights that you may retain, necessary to authorize Kodici to use and distribute your USER CONTENT during the term of this TOS.

KODICI is not responsible or liable for errors or typos in the creation of USER CONTENT, such as links, QR Codes, landing pages (LP), whether generated by typos or inaccurate information. Kodici does not carry out any type of correction or validation of the content created by its users. For this reason, KODICI recommends that the CONTRACTING PARTY double-checks before publishing any material generated on the KODICI platform.

4.7 LIMITED LICENSES FOR PUBLISHING USER CONTENT

By posting USER CONTENT, you grant Kodici a worldwide, perpetual, non-exclusive, royalty-free, fully paid-up right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your USER CONTENT, in whole or in part, in any and all media or distribution methods (now known or later developed) in accordance with your account settings and the features of the Kodici service that you choose to use during the term of this TOS.

4.8 Can I integrate Kodici with other systems?

Yes. Customers who contract Kodici have access to the API and can consume the data generated through the system.

4.9 How does the software implementation process work?

Implementation is 100% online, through self-training and support with extra content. To purchase human implementation, please consult the sales assistant.

Customized plans can include a customer success implementer (IS) who structures and supports the entire learning process and assists with system configurations. In addition, online self-training is also available.

4.10 Can the training be in person?

The online format has excellent results with our customer base. If there is a specific need for your operation, please consult the salesperson about the possibility of purchasing it.

5. Fair use policy

Kodici maintains a policy of fair and acceptable use of the website and all the services offered by the platform at all times, with the aim of ensuring that our services are not used in a way that is unreasonable:

• Be it illegal, fraudulent, irrational or excessive.
• Will or may affect the quality, integrity or reliability of the user platform, website, online services or kodici.com.br network.
• It will or could result in any user being harmed by the behavior of other users.

This Fair Use Policy applies to all free and paid users of the kodici.com.br website and other services offered by the platform and violations of this Policy may result in limitations being imposed on services described as "unlimited".

For the purposes of this document, "services" refers to any or all of the following:

• Short URLs and QR Codes created on the kodici.com.br website or through the use of our API.
• kodici.com.br, kodi.ci or any other short URL style created on the kodici.com.br website, whether encoded in a QR Code or not.
• The QR Code generator/code creation, management and editing tools, URL shortener and link management, landing pages, insights with real-time reports and any or all of the features and facilities made available to free and paid users (subscribers) of the kodici.com.br website.
• Forms created on the kodici.com.br website or through the use of our API.
• Content pages created on the Kodici platform.
• GS1 digital link/2D barcode generator

5.1 Unacceptable rights

• The use of our services in any manner that disrupts or interferes with, or has the potential to disrupt or interfere with, the user's platform, website, online services or Kodici's network.
• The use of our services by an individual user, or a group of users collectively, in any manner that is excessive, abnormal or places a significant load on the user's platform, website, online services or Kodici's network, whereby such use impacts, will or may negatively impact or adversely affect the optimal performance parameters of the platform, as defined in our sole discretion from time to time, to the detriment of other users.

5.2 Unacceptable rights

If we identify any use of our services that constitutes a violation of this Policy, we may, at our discretion, notify the user to discontinue the unacceptable use(s), or immediately terminate, suspend or limit the provision of the service or access to that user with or without notice, as we deem appropriate.

5.3 Requests for use above what is considered normal by Kodici

If the CONTRACTOR needs to use the services beyond what is considered reasonable, the CONTRACTOR must contact Kodici, inquiring about the availability of this use beyond what is considered normal, at least 30 days in advance. Only after express authorization by Kodici, the CONTRACTOR may use the services above what is considered reasonable or normal and within the period authorized by Kodici.

6. Content provided by Kodici

Definition

For purposes of these Terms of Service, the term "Content" includes, without limitation, URLs, shortened URLs, QR Codes, graphics, videos, audio files, written posts and comments, information, data, text, photographs, software, scripts, graphics and interactive features generated, provided or otherwise made available on or through the Services.

The Services contain Content specifically provided by Kodici or its partners and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. Such Content includes, but is not limited to, Kodici Insights. You must obey and maintain all copyright notices, information and restrictions contained in any Content accessed through the Services.

7. Advertising

The CONTRACTOR agrees that KODICI may include the user's company, brand and product name(s) or logo(s) online or in promotional materials. The CONTRACTOR also agrees that the user's media used in the KODICI service may be used online or in promotional materials. The CONTRACTOR also agrees that KODIDI may make verbal reference to the user's company as a customer of the KODICI products or services that are the subject of these Terms. Non-identifiable aggregated trend data originating from campaign creation and usage data may be published from time to time for planning and information purposes.

8. Termination

KODICI may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, with immediate effect, which may result in the loss and destruction of all information associated with your Account. If you wish to terminate your Account, you may do so by following the instructions on the Site. All provisions of these Terms of Service that by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification and limitations of liability.

9. Kodici support

Kodici may provide Customer support for the Service in accordance with the contracted plan.

10. Creation of links in the GS1 Digital link standard

To create links following the GS1 digital link standard, you will need to enter a GTIN number (global trade item number), provided by the GS1 AISBL company or its subsidiaries or affiliated companies.

The CONTRACTING PARTY affirms that all GTINs informed by its AUTHORIZED USERS are valid and active and that they are its property or that it has the right to use the respective GTIN together with GS1.

The CONTRACTING PARTY agrees that it may not add any random number as a GTIN, not even for testing purposes. The use of an invalid GTIN or one owned by a THIRD PARTY will be considered a violation of these terms of use and may result in the cancellation of all ACCESS LOGINS.

KODICI does not supply, commercialize, intermediate or provide GTIN numbers, not even for testing purposes.

10.1 If the CONTRACTING PARTY does not have a GTIN, how can it obtain a valid GTIN?

GS1 is responsible for assigning GTINs. In Brazil, GS1 Brasil - Associação Brasileira de Automação, formerly EAN Brasil, is its representative.

10.2 Brand URLs or subdomains

To create links following the GS1 digital link standard, the CONTRACTING PARTY must provide a valid domain or subdomain.

If the CONTRACTING PARTY wishes to use a domain or subdomain of its own, you affirm that you are the owner of the domain with the registrar, or that you have permission to create, configure redirects and create subdomains.

It is against our Terms of Service for USERS AUTHORIZED BY THE CONTRACTING PARTY to create or use URLs that contain any type of personal information. In the event that the CONTRACTING PARTY wishes to pass on personal data via the URL in any way (such as by including it in the domain name, URL slug or routing parameters), it is the CONTRACTING PARTY's responsibility to notify us and their respective clients.

10.3 About the ?GS1 Digital Link Generator? service

We collect some service information for statistical and security purposes:

• GTIN number.
• Date and time of QR Code generation.
• Author's IP address.
• All the QR Code layout customization options offered by the service.
• All the attributes you entered when creating the link.

As it is an open and free service, we cannot guarantee that the links and QR Codes generated by the service were made by the holders of the product's GTIN.

KODICI provides the service free of charge on a purely liberal basis, but may suspend or interrupt the services, or start charging for them, at any time and without prior notice.

The service is offered on an unlimited basis, but is governed by the clauses of the ?fair use policy?, item 5 of this TOS.

KODICI may, at any time, impose daily, weekly, monthly or any other usage limits it deems necessary, and without prior notice.

KODICI may restrict the generation of links and QR Codes for some specific GTINs, or any other attribute informed, using its own criteria, and is not obliged to inform of the reasons for the restriction.

Some functions may be offered subject to prior login.

We may temporarily or permanently block access to the application by blocking IPs, locations or any other parameter that KODICI deems appropriate, without the need to inform USERS of the reasons.

10.4 Relationship between KODICI and GS1 AISBL

KODICI is not a partner, subsidiary or affiliate of GS1 AISBL or any of its subsidiaries or affiliates. KODICI only uses open standards created and maintained by GS1 AISBL.

Under no circumstances can KODICI be held responsible for the improper use of links generated using the standards maintained by GS1, by users of this site.

11. Technological risks

All risks arising from the use of the services offered by KODICI are the sole responsibility of the USER and CONTRACTOR. If their use results in the need for services or replacement of material, property, equipment or information of the USER and CONTRACTOR, KODICI and its affiliates will not be responsible for such costs.

The information, software, products, values and services published on KODICI may contain typographical errors or inaccuracies. Changes and adjustments to the information are made from time to time.

In no event shall KODICI be liable for any direct, indirect, incidental, special or consequential damages resulting from the use of the portal and other services or the inability to use them, or for any information, products or services obtained through it or as a result of its use.

12. Availability of services provided by KODICI

KODICI strives to ensure that its services will be available to the USER(S) and CONTRACTOR(S) at all times, but we cannot guarantee that access to KODICI, or to the services offered, will be continuous, uninterrupted or free from errors and failures.

The USER(S) and CONTRACTOR(S) are aware that KODICI works with data backups, but does not guarantee that failures may occur in its servers, database, data links and that any failures in equipment and/or network access may result in the loss of data temporarily/permanently or block and temporarily interrupt access to KODICI, exempting KODICI from any responsibility or consequence that this problem may generate.

The USER(S) and CONTRACTOR(S) are aware that KODICI reserves the right, at any time and without prior notice, to interrupt any part of KODICI, including access to it, its services, for maintenance, system upgrades and updates and that during this period the content of KODICI will be unavailable to USERS and CONTRACTORS, exempting KODICI from any liability or consequence that this interruption may generate.

13. Changes to the portal

The USER(S) and CONTRACTOR(S) are aware that KODICI may make changes, without any prior or subsequent notification, at any time, such as changes to the information, layout, services, products and other materials of the portal for editorial, commercial or any other reasons it deems necessary, without the possibility of compensation to any USER and/or CONTRACTOR.

14. Changes to the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS

KODICI may modify, alter and/or adjust these terms at any time. Such modifications, alterations and/or adjustments shall be effective and immediate as soon as they become public. To this end, the USER must review the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("when applicable") periodically, and it is certain that the USER's continued access to or use of KODICI is subject to acceptance of the terms in force.

15. Interpretation of the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS

If any part of the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimer and limitations of liability contained herein, then the invalid provision or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable") shall continue in effect. Unless otherwise specified here (or in any other definitive written agreement between USER(S)/CONTRACTOR(S) and KODICI), the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable") constitute an agreement between USER(S)/CONTRACTOR(S) and KODICI with respect to KODICI. And this supersedes all previous or contemporaneous communications and proposals, whether electronic, oral or written between USER(S)/CONTRACTOR(S) and KODICI, with respect to KODICI. A printed version of the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable") or any notice given in electronic form shall be admissible in judicial or administrative proceedings based on or relating to the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable") to the same extent, and subject to the same conditions, as other business documents and records originally generated and maintained in printed form.

KODICI's inability to exercise or enforce any right or provision of the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable") does not represent a waiver of that right or provision.

16. Indemnification and limitation of liability

The USER/CONTRACTOR undertakes to defend, indemnify and hold harmless KODICI, its executives, subsidiaries, affiliates, successors, assigns, directors, agents, service providers, partners, contractors, lawyers, suppliers and employees from any claim brought by other USER(S), CONTRACTOR(S) or THIRD PARTIES arising from any and all claims (unfounded or not), threats, losses, damages, obligations, costs, actions, lawsuits, deficiencies, fines, decisions, transactions, costs, expenses, debts from their illegal activities on KODICI or for their non-compliance with the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("when applicable") and other KODICI policies or for the violation of any law or rights of THIRD PARTIES, being the sole responsibility of the USER(S) and/or CONTRACTOR(S) including, among others, reparation for losses and damages, attorney's fees and procedural costs.

If the USER/CONTRACTOR does not agree with any part of the present TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable"), KODICI expressly recommends that the USER and/or CONTRACTOR does not make any use of KODICI, since by doing so, in any form or under any pretext, they will be affirming their full agreement with the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("where applicable").

17. FORUM

The jurisdiction of the District of São Paulo, State of São Paulo, Brazil, is hereby elected to settle any disputes arising from the TERMS OF USE, PRIVACY POLICY and ADDITIONAL TERMS ("when applicable") or related to the access or use of KODICI, regardless of any other jurisdiction, however privileged it may be or may become.
